We reserve the right to modify these Terms at any time. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.

2. Description of Services

FlowLocal provides done-for-you digital marketing services for local trades and service businesses, including but not limited to:

• Google Ads management
• Facebook & Instagram advertising
• Website design and optimization
• Lead follow-up automation
• Review management
• CRM platform services
• Local SEO optimization
• AI chat automation

Specific services, deliverables, pricing, and timelines will be outlined in individual service agreements or proposals.

3. SMS/Text Messaging Program Terms

3.1 Program Description

By opting in to receive SMS messages from FlowLocal, you agree to receive text messages including:

• Service notifications: Updates about your account, campaigns, or service delivery
• Appointment reminders: Confirmations and reminders for scheduled calls or meetings
• Marketing messages: Promotional offers, updates, and marketing communications (if you separately opt in)
• Transactional messages: Account-related information, billing notifications, and service updates

Message Frequency: Message frequency varies depending on your account activity and the services you use. You may receive up to 10 messages per month.

Cost: Standard message and data rates may apply as determined by your mobile carrier. FlowLocal does not charge for SMS messages, but your carrier may.

3.2 Opt-In and Consent

You provide your express written consent to receive SMS messages from FlowLocal by:

• Checking the opt-in box on our web forms
• Texting a keyword to our designated phone number
• Providing your phone number and agreeing to these Terms

Consent is not a condition of purchase. You are not required to agree to receive SMS messages as a condition of purchasing our services.

3.3 Opt-Out Instructions

You may opt out of receiving SMS messages at any time by:

• Replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any text message you receive from us

After you opt out, you will receive one final confirmation message. You may continue to receive transactional messages related to services you have already requested.

3.4 How to Rejoin

If you opt out and later wish to rejoin our SMS program, you may:

• Text START, YES, or UNSTOP to the phone number from which you opted out
• Re-submit an opt-in form on our website

3.6 Carrier Disclaimer

We are not liable for delayed or undelivered messages. Message delivery is subject to your mobile carrier's terms and network availability. Participating carriers include but are not limited to AT&T, Verizon Wireless, T-Mobile, Sprint, and other major U.S. carriers.

3.7 SMS Data Privacy

We do not share your mobile phone number or SMS opt-in data with third parties for their marketing or promotional purposes. Your mobile information will only be shared with service providers necessary to deliver SMS messages (e.g., SMS gateway providers and aggregators). For full details, see our Privacy Policy.

4. User Responsibilities

By using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Comply with all applicable laws and regulations
• Not use our services for any unlawful, fraudulent, or harmful purpose
• Not interfere with the operation of our services or other users' access

5. Payment Terms

Payment terms, pricing, and billing cycles will be specified in individual service agreements. General terms include:

• Invoicing: Invoices are issued according to the agreed payment schedule
• Payment Methods: We accept credit card, debit card, and bank transfer
• Late Payments: Late payments may result in service suspension or termination
• Refunds: Refund policies are outlined in individual service agreements
• Third-Party Fees: You are responsible for any third-party fees (e.g., Google Ads spend, Facebook Ads spend) in addition to our management fees

6. Cancellation and Termination

Either party may terminate services with written notice according to the terms of the service agreement. General terms include:

• Month-to-Month Services: Can be canceled with 30 days' written notice
• Contract Services: Subject to the terms outlined in the service agreement
• Immediate Termination: We reserve the right to terminate services immediately if you violate these Terms
• Data Retention: Upon termination, you retain ownership of your data and may request an export

7. Intellectual Property

All content, designs, code, trademarks, and materials created by FlowLocal remain the intellectual property of FlowLocal unless otherwise specified in a service agreement. You retain ownership of:

• Your business name, logo, and brand assets
• Content you provide to us
• Customer data and contact lists

Upon full payment, you receive a non-exclusive license to use deliverables (e.g., websites, ad creatives) for your business purposes.

8. Disclaimers and Limitation of Liability

Our services are provided "as is" without warranties of any kind, express or implied. We do not guarantee specific results, revenue, or ROI from our services.

Limitation of Liability: To the maximum extent permitted by law, FlowLocal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount you paid for services in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold FlowLocal harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content or information you provide to us

10. Third-Party Services

Our services may integrate with or rely on third-party platforms (e.g., Google, Facebook, CRM software). We are not responsible for the performance, availability, or policies of these third-party services. Your use of third-party services is subject to their respective terms and conditions.

11. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using our services, you consent to our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through:

• Good-faith negotiation between the parties

• Binding arbitration or litigation in the courts of Ontario, Canada

13. Miscellaneous

13.1 Entire Agreement

These Terms, along with any service agreements and our Privacy Policy, constitute the entire agreement between you and FlowLocal.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
